1. Acceptance of Terms

By using the Student Portal platform (studentportalua.com), you confirm that you have read, understood, and agree to these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, please do not use our service.

If you are using the platform on behalf of an organization, you confirm that you have the authority to accept these terms on its behalf.

2. Service Description

Student Portal is a SaaS platform for tutors and their students, providing the following features:

• Lesson schedule management (create, edit, cancel)
• Student list and profile management
• Assignment creation and tracking
• Financial reporting and payment tracking
• Chat between students and teachers
• Google Calendar integration (optional)
• Referral program

We reserve the right to modify, expand, or discontinue any features without prior notice.

3. Registration and Accounts

To use the service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your profile information up to date
• Keep your password confidential and not share it with third parties
• Immediately notify us of any unauthorized account use
• Bear full responsibility for all actions performed through your account

One account per person. Transferring an account to another person is prohibited without written permission.

4. Acceptable Use

You may not use Student Portal to:

• Any illegal activity or violation of third-party rights
• Distributing harmful or offensive content
• Spam, phishing, or fraud
• Attempting to gain unauthorized access to systems or data
• Reverse engineering, copying, or modifying the platform code
• Automated data collection (scraping) without permission
• Reselling or sublicensing access to the service

5. Subscription and Payments

5.1. Pricing Plans

Student Portal offers a free plan and paid plans with expanded features. Current prices and plan details are available on the subscription page within the platform. We reserve the right to change prices with 30 days prior notice.

5.2. Billing

• Payment is charged monthly in advance
• Subscription renews automatically each month
• You can cancel your subscription at any time in account settings
• After cancellation, access to paid features continues until the end of the paid period

5.3. Refund Policy

• Within 14 days of the first payment, you are entitled to a full refund
• Recurring payments (subscription renewals) are non-refundable once processed
• Exception: technical failures on our side rendering the service unavailable for more than 48 consecutive hours

5.4. Free Plan

The free plan is available indefinitely with a limited number of students and features. We reserve the right to change free plan conditions with prior notice.

6. Content and Intellectual Property

6.1. Your Content

You retain ownership of any content you upload or create in Student Portal (lesson materials, assignments, messages). By providing content, you grant us a limited, non-exclusive license to store and display that content solely for the purpose of providing the service.

6.2. Our Intellectual Property

The Student Portal platform, including its design, code, logos, trademarks, and content (excluding user content), is the property of Student Portal and is protected by copyright laws. You may not copy, reproduce, or use any part of the platform without written permission.

7. Privacy

The collection and processing of your personal data is governed by our Privacy Policy, which is an integral part of these Terms of Service.

8. Disclaimer of Warranties

Student Portal is provided "as is" and "as available" without any express or implied warranties. We do not warrant that the service will be uninterrupted, error-free, or meet all your requirements. Significant disruptions are especially possible during the beta testing period.

9. Limitation of Liability

To the maximum extent permitted by law, Student Portal and its founders, employees, and partners are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profit, data, or business opportunities
• Service interruptions or errors
• Actions of third parties or external services (Google, Supabase, etc.)

Our total liability to you for any claims shall not exceed the amount you paid for the service in the 3 months preceding the claim.

10. Termination

You may delete your account at any time through profile settings or by sending a request to support@studentportalua.com.

We reserve the right to suspend or delete an account without notice in case of: violation of these Terms, fraudulent or illegal activity, prolonged inactivity (over 12 months on the free plan). Upon account deletion, data is retained in accordance with the Privacy Policy (section 5.1).

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Ukraine. For EU users, applicable EU regulations also apply (including GDPR). Disputes shall first be resolved through negotiation. If negotiations fail — through the competent court at the respondent's location or as provided by EU consumer law.

12. Changes to Terms

We reserve the right to amend these Terms. For significant changes, we will notify you by email or platform notification at least 14 days before they take effect. Minor changes (editorial, clarifying) take effect upon publication. Continued use of the service after changes take effect constitutes your acceptance of the updated Terms.

13. Referral Program

Student Portal may offer a referral program. Program terms (reward amount, validity, payout) are published separately on the referrals page and may change. We reserve the right to suspend or modify the referral program at any time.

14. Miscellaneous

• If any provision of these Terms is found invalid, the remaining terms remain in effect
• Failure to enforce any right does not constitute a waiver of that right
• These Terms constitute the entire agreement between you and Student Portal regarding use of the service
